1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you") and DiMana Systems, LLC ("EMS1R," "we," "us"), a Florida limited liability company, governing your access to and use of the EMS1R platform, website (ems1r.us), and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.

2. Description of Services

EMS1R provides a cloud-based Emergency Medical Services operations platform that includes, but is not limited to:

  • Computer-Aided Dispatch (EMSCAD)
  • Mobile Data Terminal (EMS2GO)
  • Crew Scheduling (EMSCS)
  • Human Resources Management (EMSHR)
  • Fleet and Asset Management (EMSFT)
  • Electronic Patient Care Record (EMSPCR)
  • Ambulance Ordering (EMS4U)
  • Artificial Intelligence (EMSAI)
  • Business Intelligence and Analytics (EMS4BI)

3. Account Registration and Security

  • You must provide accurate, complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must immediately notify EMS1R of any unauthorized access to your account
  • You are responsible for all activities that occur under your account
  • EMS1R supports biometric authentication, RFID, and multi-factor authentication for enhanced security

4. Subscription and Pricing

EMS1R pricing is per-call (dispatch/incident), not per-user or per-vehicle. All platform modules are included in the subscription at no additional per-module cost. Specific pricing is provided upon request and formalized in a separate Order Form or Service Agreement.

  • Subscription fees are billed as agreed in the Order Form
  • Prices are subject to change with 60 days written notice
  • Late payments may result in service suspension after 30 days written notice

5. Service Level Agreement (SLA)

  • Uptime: Platform availability is backed by the underlying cloud provider's SLA (e.g., Google Cloud 99.99%). EMS1R application-level availability targets are defined in the Service Agreement
  • Failover: Automated failover within 30 seconds
  • Redundancy: Triple-redundant infrastructure with multi-region deployment
  • Monitoring: 24/7 infrastructure monitoring and incident response
  • Support: Customer support available via phone, email, and internal messaging
  • Maintenance Windows: Scheduled maintenance will be communicated 72 hours in advance and performed during low-usage periods

Service credits for SLA breaches are provided as specified in the Service Agreement.

6. HIPAA and Compliance

EMS1R operates as a Business Associate under HIPAA. Customers who are Covered Entities or Business Associates under HIPAA are required to execute a Business Associate Agreement (BAA) with EMS1R prior to transmitting any Protected Health Information (PHI) through the platform.

  • EMS1R will process PHI only as directed by the Customer and in accordance with the BAA
  • EMS1R maintains SOC 2 compliance framework
  • All data is encrypted using AES-256 at rest and TLS 1.2+ in transit
  • Row-Level Security (RLS) ensures agency-level data isolation
  • EMS1R will promptly notify Customer of any security incident involving PHI

7. NEMSIS Compliance

The EMS1R ePCR system was built directly from the NEMSIS v3.5 data format and is continuously updated in real time with any changes to the standard, ensuring 100% structural compliance. NEMSIS certification is currently in progress. Customer is responsible for the accuracy and completeness of clinical data entered into the platform. EMS1R provides real-time validation tools to assist with compliance.

8. Customer Data and Ownership

  • Customer Data: You retain all rights, title, and interest in your data. EMS1R does not claim ownership of any Customer data
  • License to EMS1R: You grant EMS1R a limited license to process your data solely to provide the Services
  • Data Portability: Upon written request, EMS1R will export your data in standard formats within 30 business days
  • Data Deletion: Upon termination, Customer data will be retained in accordance with applicable EMS record retention laws, after which it will be securely deleted
  • De-identified Data: EMS1R may use de-identified, aggregated data for platform improvement and analytics

9. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorized access to the platform or other accounts
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Transmit malware, viruses, or harmful code
  • Interfere with or disrupt the integrity or performance of the Services
  • Share account credentials with unauthorized individuals
  • Use the platform to store or transmit data unrelated to EMS operations

10. Intellectual Property

The EMS1R platform, including all software, designs, documentation, and trademarks, is the exclusive property of DiMana Systems, LLC. The subscription grants a non-exclusive, non-transferable license to use the Services during the subscription term. No ownership rights are transferred.

11. API and Integrations

EMS1R provides bidirectional API access for integration with third-party systems. Custom API development is available upon request. Use of APIs is subject to rate limits and security requirements. EMS1R is not responsible for the functionality or security of third-party systems connected via API.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • EMS1R's total aggregate liability shall not exceed the amount paid by Customer in the twelve (12) months preceding the claim
  • EMS1R shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • EMS1R shall not be liable for loss of data caused by Customer actions or third-party systems
  • EMS1R is a technology platform and does not provide medical advice. Clinical decisions remain the sole responsibility of licensed EMS professionals

13. Indemnification

You agree to indemnify and hold harmless DiMana Systems, LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any applicable law or regulation, or (d) any data you submit through the platform.

14. Termination

  • Either party may terminate with 90 days written notice
  • EMS1R may suspend or terminate for material breach after 30 days written notice and opportunity to cure
  • EMS1R may immediately suspend access if required by law or to prevent security threats
  • Upon termination, your right to access the Services ceases. Data export will be available for 90 days following termination

15. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, pandemics, internet outages, or third-party service provider failures.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs.

17. Modifications

EMS1R reserves the right to modify these Terms at any time. Material changes will be communicated via email to account holders at least 30 days before taking effect. Continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
